About the role

  • Position title = Head of Secretariat & Company Secretary, reporting to the CEO
  • Provide and deliver high-quality, best-practice secretariat & governance advice
  • Support the Trust Board and Trust Board Committees
  • Ensure legal compliance while continuously improving the corporate governance
  • Advise & support company directors on the Trust Board with Board & Committee meetings
  • Ensure all Board meetings are organised & run efficiently, relevant documentation prepared
  • Provide legal advice on all matters relating to corporate governance & board meetings
  • Remain abreast with relevant legislation, regulatory and statutory changes & policies
  • Identify commercial & governance implications
  • Draft & review contracts, ensure all records are correctly filed & maintained
  • Ensure systems are in place to achieve policy updates and approval at Board level
  • Manage and co-ordinate the induction of new Trust Board & Committee members
  • Implement & demonstrate compliance with policies and procedures
