As an intermediate or senior lawyer in the team, you will advise on a full range of market leading commercial transactions, including public and private M&A, capital raisings, corporate restructurings, joint ventures and other complex transactions. Recent Deals
The Corporate team has led the New Zealand market in deal activity in the past 12 months. Among other matters, the team advised:
- Contact Energy on its proposed acquisition of NZX-listed Manawa Energy through a court approved scheme of arrangement. Manawa shareholders will receive consideration valued at NZ$5.95 per Manawa share, implying an enterprise value of NZ$2.3 billion.
- Stonepeak on its takeover of Arvida, which had an overall transaction value of $2 billion when including the refinancing of Arvida’s debt.
- Fletcher Building on its $700 million fully underwritten accelerated non-renounceable entitlement offer and placement.
- Suncorp on its $410 million sale of its Asteron Life business to Resolution Life.
- Jarden on its merger with JBWere NZ and BNZ Investment Services to create FirstCape.
- Clarus on its joint venture arrangements to build New Zealand’s largest solar farm.
Experience and qualifications
- 5+ years PQE, including private practice and/or in-house.
- M&A, capital raisings and other corporate transactions.
- Strong technical knowledge, commercial acumen and client service skills.
- Right to work in New Zealand.
